These Terms of Service apply to your use of this store and website, including all related information, content, features, tools, products, and services made available by Naturels Bold Egg Naturals Inc., doing business as BPM. BPM is powered by Shopify, which enables us to provide the Services to you.

We do not guarantee that the appearance of any product or service purchased by you will be exactly as shown on your screen.

All product descriptions are subject to change at any time without notice at our sole discretion. We reserve the right to discontinue any product at any time and to limit the quantities of any products we offer to any person, geographic region, or jurisdiction on a case by case basis.

SECTION 3. ORDERS

When you place an order, you are making an offer to purchase. We reserve the right to accept or decline any order at our discretion. Your order is not accepted until we confirm acceptance.

We must receive and process your payment before your order is accepted. Please review your order carefully before submitting it, as we may be unable to accommodate cancellation requests after an order has been accepted.

If we do not accept, change, or cancel an order, we will attempt to notify you using the email address, billing address, and or phone number provided at the time the order was placed.

Your purchases are subject to return, refund, exchange, or satisfaction guarantee only in accordance with our Refund Policy.

You represent and warrant that your purchases are for your own personal or household use and not for commercial resale or export.

If you purchase a product on a pre order basis, the estimated shipment timing for that product will be stated on the product page, at checkout, or elsewhere on the Services. Pre order shipment dates are estimates only and are not guaranteed.

Prices, discounts, and promotions are subject to change without notice. The price charged for a product or service will be the price in effect at the time the order is placed and will be set out in your order confirmation email.

Unless otherwise expressly stated, posted prices do not include applicable taxes, shipping charges, handling charges, customs duties, import charges, or similar fees.

Prices posted in our online store may differ from prices offered through third parties or other sales channels. We may offer promotions from time to time that are governed by separate terms and conditions. If there is a conflict between the terms of a promotion and these Terms of Service, the promotion terms will govern.

You agree to provide current, complete, and accurate purchase, payment, and account information for all purchases made through our store. You agree to promptly update your account and other information, including your email address and payment details, so that we can complete your transactions and contact you as needed.

You represent and warrant that:

  • the payment information you provide is true, correct, and complete

  • you are duly authorised to use the payment method provided

  • charges incurred by you will be honoured by your payment provider

  • you will pay all charges incurred by you at the posted prices, including applicable taxes and shipping charges

SECTION 5. SHIPPING AND DELIVERY

We currently offer shipping to addresses in Canada and the United States.

Delivery times are estimates only and are not guaranteed. We are not liable for shipping or delivery delays caused by carriers, customs processing, weather, supply disruptions, or events outside our reasonable control.

Once we transfer products to the carrier, title to the products and risk of loss pass to you, to the extent permitted by applicable law.

SECTION 6. INTELLECTUAL PROPERTY

Our Services, including all trademarks, brands, text, displays, images, graphics, product reviews, video, audio, and the design, selection, and arrangement of those materials, are owned by Naturels Bold Egg Naturals Inc., its licensors, or its service providers and are protected by applicable intellectual property laws.

These Terms of Service permit you to use the Services for your personal, non commercial use only. You must not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, or transmit any material from the Services without our prior written consent.

BPM is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our store are made directly with Naturels Bold Egg Naturals Inc. and not with Shopify.

By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and us, including any injury, damage, or loss resulting from products or services purchased from us.

You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with us.

All personal information we collect through the Services is subject to our Privacy Policy.

In addition, no Agent may access, use, or interact with the Services if we have requested that the Agent refrain from doing so.

We may limit, including by technical measures, whether and how any Agent accesses, uses, or interacts with the Services.

  • in all HTTP or HTTPS requests, identify that the request is from an Agent and disclose the name of the Agent in the user agent string as: Agent/[agent name]

  • not conceal or obscure that any access, use, or interaction is from an Agent

  • not mimic human behaviour or interaction patterns in order to avoid detection

  • not complete or circumvent CAPTCHAs or similar measures intended to distinguish human use from automated use

  • respond truthfully to any question or prompt seeking to determine whether the interaction is from a human or a computer

  • not circumvent or avoid any measure intended to block, limit, modify, or control whether and how Agents may access, use, or interact with the Services

We may terminate this agreement or your access to the Services, or any part of them, at our sole discretion at any time without notice. You will remain liable for all amounts due up to and including the date of termination.

  • your purchase, use, or misuse of any product purchased through the Services

  • any errors, inaccuracies, or omissions in the Services

  • any interruption, suspension, delay, or termination of the Services

  • any unauthorised access to or alteration of your information

To the fullest extent permitted by law, our total liability to you for any claim arising out of or relating to the Services or products purchased through the Services shall not exceed the amount actually paid by you to us for the product or service giving rise to the claim.

Nothing in these Terms of Service limits liability where such limitation is prohibited by law.

You agree to indemnify, defend, and hold harmless Naturels Bold Egg Naturals Inc., carrying on business as BPM, and our affiliates, officers, directors, employees, contractors, agents, licensors, service providers, and partners from and against any claims, actions, losses, liabilities, damages, judgments, costs, and expenses, including reasonable legal fees, arising out of or relating to:

  • your misuse of the Services

  • your violation of any law or the rights of a third party

  • any content, feedback, or material you submit through the Services

We reserve the right to assume the exclusive defence and control of any matter subject to indemnification by you, and you agree to cooperate fully with us in relation to that defence.

If any provision of these Terms of Service is found to be invalid, unlawful, or unenforceable, that provision shall be enforced to the fullest extent permitted by law, and the remaining provisions shall remain in full force and effect.

These Terms of Service, together with any policies or other documents expressly incorporated by reference, constitute the entire agreement between you and us regarding your use of the Services and supersede all prior or contemporaneous communications, agreements, proposals, and understandings, whether written or oral, relating to the same subject matter.

SECTION 21. ASSIGNMENT

You may not assign, transfer, delegate, or otherwise dispose of any of your rights or obligations under these Terms of Service without our prior written consent.

We may assign, transfer, or delegate our rights and obligations under these Terms of Service without notice to you.

SECTION 22. GOVERNING LAW AND JURISDICTION

These Terms of Service, and any separate agreement through which we provide the Services, shall be governed by and interpreted in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein.

You agree that any dispute, claim, or proceeding arising out of or relating to these Terms of Service or the Services shall be brought exclusively before the courts located in Toronto, Ontario, and you attorn to the jurisdiction of those courts.

Headings in these Terms of Service are included for convenience only and do not affect the interpretation of these Terms.

We may update or revise these Terms of Service from time to time in our sole discretion. When we do, we will post the updated version on this page and update the “Last updated” date above.

Your continued use of the Services after any updated Terms of Service are posted constitutes your acceptance of those changes, to the extent permitted by law.
